Terms of Use

Effective Date: These Terms become effective upon the first public release of the EdMission Public Beta.

These Terms of Use (“Terms”) govern your access to and use of EdMission, including our website, applications, AI-powered features, tools, recommendations, content, and related services (collectively, the “Service”).

The Service is provided by EdMission AI, Inc., a Delaware corporation (“EdMission,” “we,” “us,” or “our”).

By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

01 — Eligibility

You must be at least 13 years old to create an EdMission account or use the Service.

If you are under the age at which you may legally enter into a binding agreement where you live, you may use EdMission only with the permission of your parent or legal guardian.

If you are a minor where you live, you may make purchases through EdMission only with the permission of your parent or legal guardian.

By creating an account or using the Service, you represent that:

• you are at least 13 years old;
• the information you provide is accurate;
• you are legally permitted to use the Service; and
• if required because of your age, you have permission from your parent or legal guardian to use EdMission and make any applicable purchases.

EdMission may restrict or terminate access if we reasonably believe that a user does not meet these eligibility requirements.

02 — Public Beta

EdMission is currently offered as a Public Beta.

The Service is actively being developed, tested, and improved. During the Public Beta:

• features may change;
• features may be added or removed;
• recommendations and outputs may change as our systems improve;
• portions of the Service may be incomplete;
• errors, interruptions, or unexpected behavior may occur; and
• availability may change.

We do not guarantee that any particular Beta feature will remain available or become part of a future general release of EdMission.

We may transition EdMission out of Public Beta, modify the Beta program, or discontinue the Beta at our discretion.

03 — What EdMission Provides

EdMission provides educational information, college-planning tools, student-development tools, AI-generated recommendations, application-related guidance, and related resources.

Depending on the features you use, EdMission may help you:

• organize academic and extracurricular information;
• explore majors, colleges, activities, awards, and opportunities;
• evaluate or develop activities and projects;
• receive feedback on application-related materials;
• brainstorm ideas;
• develop educational or admissions-related plans;
• analyze resumes, transcripts, essays, or other information you choose to provide; and
• receive personalized AI-generated information and recommendations.

EdMission is a planning and informational tool.

EdMission does not make admissions decisions and is not an admissions office, college, university, testing organization, scholarship provider, or government agency.

Unless expressly stated otherwise, EdMission is not affiliated with, endorsed by, or acting on behalf of any college or university.

04 — No Admission or Educational Outcome Guarantee

College admissions decisions depend on many factors outside EdMission’s control.

EdMission does not guarantee:

• admission to any college or university;
• acceptance into any academic program;
• scholarships or financial aid;
• academic improvement;
• improvement in admissions competitiveness;
• a particular admissions rating or evaluation;
• the accuracy of predictions about admissions outcomes; or
• any other particular educational or admissions result.

Any evaluation, recommendation, rating, estimate, or analysis provided by EdMission should be understood as informational guidance rather than a promise or guarantee of an outcome.

05 — AI-Generated Information

Certain parts of EdMission use artificial intelligence and automated systems.

AI-generated content may be:

• inaccurate;
• incomplete;
• outdated;
• inconsistent;
• based on incomplete information provided by you; or
• inappropriate for your particular circumstances.

You should use reasonable judgment when relying on AI-generated information.

You are responsible for independently verifying important information before acting on it, particularly information involving:

• admissions deadlines;
• application requirements;
• testing requirements;
• financial aid;
• scholarships;
• university policies;
• eligibility requirements;
• application platform rules; and
• other information that may change over time.

When an official college, university, application platform, testing organization, or government source conflicts with information provided by EdMission, the official source should control.

06 — Your Decisions and Responsibility

EdMission is designed to assist your decision-making, not replace it.

You remain responsible for decisions you make based on information provided through the Service.

This includes decisions involving:

• which colleges to apply to;
• which activities or programs to pursue;
• what information to include in an application;
• what essays or other materials to submit;
• how to represent your experiences; and
• whether to follow a particular recommendation.

You are also responsible for reviewing any content generated or modified with the assistance of EdMission before submitting it to a school, university, application platform, competition, or other third party.

07 — Academic Integrity and Application Integrity

EdMission may be used to brainstorm, learn, organize ideas, receive feedback, evaluate options, and develop your own work.

You may not use EdMission to:

• fabricate activities, awards, research, employment, leadership, academic results, or other credentials;
• intentionally misrepresent your experiences or qualifications;
• impersonate another person;
• create fraudulent application materials;
• submit another person’s work as your own;
• violate academic-integrity rules;
• violate the rules of a school, college, university, application platform, testing organization, scholarship program, competition, or other institution; or
• engage in fraud or deception.

Different institutions may have different policies regarding the use of artificial intelligence.

You are responsible for understanding and complying with the rules that apply to any materials you ultimately submit.

08 — Your Account

You are responsible for maintaining the security of your EdMission account.

You agree to:

• provide accurate account information;
• keep your account credentials secure;
• not knowingly allow unauthorized people to access your account;
• promptly notify EdMission if you believe your account has been compromised; and
• use your account only in accordance with these Terms.

You may not sell, transfer, or provide your account to another person in order to circumvent restrictions or gain unauthorized access to the Service.

09 — Your Content

You may provide information or materials to EdMission, including:

• profile information;
• academic information;
• activity and award information;
• prompts;
• chat messages;
• essays;
• resumes;
• transcripts;
• documents;
• responses to questionnaires;
• goals and preferences; and
• other information or materials you choose to submit.

Collectively, these materials are referred to as “User Content.”

You retain ownership of your User Content.

You grant EdMission a non-exclusive, worldwide license to host, store, reproduce, transmit, process, analyze, and otherwise use your User Content as reasonably necessary to:

• provide the Service to you;
• personalize the Service;
• process your requests;
• maintain and secure the Service;
• troubleshoot problems;
• evaluate Service performance; and
• improve EdMission in ways consistent with our Privacy Policy.

This license does not transfer ownership of your User Content to EdMission.

Our collection, processing, retention, deletion, and use of Personal Information are further described in our Privacy Policy.

10 — AI Training and User Data

EdMission uses third-party artificial intelligence providers to operate certain features of the Service.

EdMission does not intentionally provide identifiable Personal Information submitted through the Service to third-party AI providers for the purpose of training their general foundation models.

Third-party providers may process or temporarily retain information for purposes such as providing the requested service, security, abuse prevention, safety, or other permitted operational purposes.

EdMission may use aggregated or de-identified information to analyze, evaluate, develop, and improve the Service, provided that such information is handled in accordance with applicable law and our Privacy Policy.

11 — Feedback

We welcome feedback about EdMission.

Feedback may include:

• suggestions;
• feature ideas;
• comments;
• bug reports;
• product requests;
• evaluations;
• survey responses; and
• other ideas about the Service.

If you voluntarily provide Feedback, you grant EdMission a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, develop from, publish, commercialize, and otherwise use that Feedback for any lawful purpose without restriction or compensation to you.

This Feedback provision does not give EdMission ownership of your underlying User Content or Personal Information.

12 — EdMission Intellectual Property

Except for User Content, the Service and materials provided by EdMission are owned by or licensed to EdMission and may be protected by copyright, trademark, trade-secret, patent, and other intellectual-property laws.

This may include:

• software;
• source code;
• interfaces;
• designs;
• databases;
• recommendation systems;
• workflows;
• prompts;
• evaluation systems;
• admissions frameworks;
• scoring or assessment methodologies;
• taxonomies;
• educational frameworks;
• algorithms;
• graphics;
• written content;
• branding;
• product names; and
• other proprietary materials.

These Terms give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purposes.

Except where applicable law expressly allows otherwise, you may not:

• copy or reproduce substantial portions of the Service;
• sell or sublicense the Service;
• systematically extract EdMission data;
• scrape or crawl the Service;
• reverse engineer the Service;
• attempt to discover non-public source code, system prompts, algorithms, or internal systems;
• circumvent technical restrictions;
• create unauthorized derivative commercial products from EdMission proprietary materials; or
• use EdMission trademarks or branding without authorization.

13 — Acceptable Use

You may not use EdMission to:

• violate applicable law;
• harm, threaten, harass, or exploit another person;
• upload malicious software;
• interfere with the operation or security of the Service;
• attempt unauthorized access to accounts, servers, databases, or systems;
• evade usage limits or security controls;
• scrape or systematically extract information without authorization;
• probe or test system vulnerabilities without permission;
• misuse AI functionality to facilitate fraud or deception;
• infringe another person’s intellectual-property or privacy rights;
• submit information that you do not have the right to provide; or
• use the Service in a manner that materially interferes with other users or EdMission infrastructure.

We may investigate suspected misuse and take reasonable measures to protect users, our systems, and third parties.

14 — Third-Party Services

EdMission relies on third-party technology and service providers.

These may include providers of:

• artificial intelligence;
• authentication;
• databases;
• cloud infrastructure;
• file storage;
• analytics;
• payment processing;
• communications;
• security; and
• other technical services.

EdMission may also provide links to third-party websites or resources.

Third-party services may be governed by their own terms and privacy policies.

EdMission does not control all aspects of third-party services and is not responsible for their independent content, policies, or availability.

15 — Paid Features and One-Time Purchases

EdMission may make certain features available for free and may require a one-time payment to unlock or extend certain features, usage limits, functionality, or other portions of the Service.

Before you make a purchase, EdMission will display the applicable price and information about what the purchase unlocks or provides.

Unless expressly identified as recurring before purchase, EdMission purchases are one-time purchases and do not automatically renew.

Payments are processed by Stripe or another payment processor that EdMission may identify at checkout.

When Stripe processes a payment, your payment information is also subject to Stripe’s applicable terms and privacy practices.

EdMission does not require you to provide full payment-card numbers or card security codes directly to EdMission when payment information is collected through Stripe’s payment interface.

By making a purchase, you authorize the applicable payment processor to charge the payment method you provide for:

• the displayed purchase price;
• applicable taxes, if any; and
• any other amount clearly disclosed and authorized by you before payment.

Paid access or functionality may become available after EdMission receives confirmation that the applicable payment has been successfully completed.

A payment attempt that is declined, canceled, reversed, or otherwise unsuccessful does not entitle you to the associated paid functionality.

If you are a minor where you live, you may make a purchase only with permission from your parent or legal guardian.

Refund requests may be made within 7 days of purchase if the purchased paid feature, usage entitlement, or other digital functionality has not been materially used or consumed.

A purchase will generally be considered used once any portion of the purchased digital feature, entitlement, credit, usage allowance, extension, or functionality has been materially accessed or consumed.

Once any portion of a purchase has been materially used or consumed, the purchase is generally non-refundable, and EdMission does not provide prorated or partial refunds for unused portions, except where required by applicable law.

EdMission may provide a refund or other appropriate remedy for:

• duplicate charges;
• erroneous charges;
• a technical failure that prevents EdMission from providing the purchased functionality; or
• other circumstances where a refund is required by applicable law.

If EdMission provides a refund, reverses a payment, or receives a valid chargeback after paid functionality has been granted, EdMission may revoke or adjust the corresponding paid access, credits, usage allowance, or entitlement.

Nothing in these Terms limits refund, cancellation, withdrawal, chargeback, or other consumer rights that cannot legally be waived under applicable law.

EdMission may change the pricing of future purchases at any time. A price change will not retroactively increase the price of a purchase you have already completed.

16 — Changes to the Service

EdMission is continuously developing the Service.

We may:

• add features;
• remove features;
• modify features;
• change interfaces or workflows;
• change usage limits;
• change availability;
• update AI systems;
• change third-party service providers; or
• discontinue portions of the Service.

Where required by applicable law, we will provide appropriate notice before making changes that materially affect existing paid rights or other legally protected interests.

A change to future pricing or features does not alter paid access already purchased except where the purchased feature itself was expressly described as time-limited, usage-limited, or subject to other conditions disclosed before purchase.

17 — Suspension and Termination

You may stop using EdMission at any time.

You may request or initiate account deletion using the functionality provided by the Service.

EdMission may restrict, suspend, or terminate an account if we reasonably believe that:

• these Terms have been materially violated;
• the account presents a security risk;
• the Service is being used fraudulently or unlawfully;
• the user is attempting unauthorized access;
• continued access could harm EdMission, another user, or a third party; or
• suspension or termination is necessary to comply with law.

Where appropriate and reasonably practicable, we may provide notice before termination.

Account termination does not eliminate rights or obligations that by their nature should survive termination, including provisions concerning intellectual property, Feedback, disclaimers, limitations of liability, payments, and dispute resolution.

18 — Account and Data Deletion

Users may delete their EdMission account through the functionality provided by the Service or contact EdMission regarding privacy-related requests.

When an account deletion request is processed, EdMission will delete applicable Personal Information from active systems in accordance with our Privacy Policy.

Information contained in routine backup systems may remain temporarily until the applicable backup retention period expires.

Certain limited information may also be retained where reasonably necessary or legally required for purposes such as:

• security;
• fraud prevention;
• transaction and accounting records;
• tax compliance;
• legal compliance;
• dispute resolution; or
• establishing or defending legal claims.

Deleting your account does not itself create a right to a refund for a completed purchase unless applicable law or the refund provisions above provide otherwise.

Our Privacy Policy provides additional information about data retention and deletion.

19 — Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.

EdMission does not warrant that:

• the Service will always be available;
• the Service will be uninterrupted or error-free;
• every recommendation will be accurate;
• every piece of information will be current;
• all defects will be corrected;
• the Service will satisfy every individual educational need; or
• use of the Service will result in any particular admissions or educational outcome.

Nothing in these Terms excludes or limits warranties, guarantees, or consumer rights that cannot lawfully be excluded or limited.

20 — Limitation of Liability

To the maximum extent permitted by applicable law, EdMission AI, Inc. and its directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Service.

This includes, where legally permitted, losses arising from:

• reliance on inaccurate or incomplete information;
• loss of data;
• loss of opportunity;
• interruption of the Service;
• third-party services; or
• admissions, academic, financial, or other decisions made based on use of the Service.

To the maximum extent permitted by applicable law, EdMission’s total aggregate liability arising out of or relating to the Service will not exceed the greater of:

• (a) the amount you paid directly to EdMission for the Service during the 12 months preceding the event giving rise to the claim; or
• (b) US $100.

These limitations do not apply to liability that cannot legally be excluded or limited.

21 — Changes to These Terms

We may update these Terms as EdMission, our technology, business model, or applicable legal requirements change.

When we update these Terms, we will update the applicable version and effective date.

If a change materially affects your rights or obligations, we will provide reasonable notice through the Service, email, or another appropriate method where required.

If applicable law requires renewed consent, we will obtain that consent before the relevant change applies.

Continued use of the Service after an update may constitute acceptance where permitted by applicable law.

22 — Governing Law and Disputes

Except where the mandatory laws of your place of residence provide otherwise, these Terms and disputes arising from them are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.

For disputes for which applicable law permits the parties to choose a forum, you and EdMission agree that the state and federal courts located in Orange County, California will have jurisdiction.

If you are a consumer and the mandatory consumer-protection laws of the country or region where you live give you the right to bring a claim in your local courts or under your local law, nothing in these Terms removes those rights.

These Terms do not require arbitration.

23 — International Users

EdMission is operated by EdMission AI, Inc. in the United States and is available to users in multiple countries.

You are responsible for complying with laws that apply to your use of the Service in your location.

Nothing in these Terms is intended to waive or restrict mandatory consumer, privacy, or other statutory rights that apply to you and cannot lawfully be waived by contract.

The processing and international transfer of Personal Information are addressed separately in our Privacy Policy.

24 — Severability

If any provision of these Terms is found to be invalid, unenforceable, or unlawful, the remaining provisions will remain in effect to the extent permitted by law.

Where possible, an invalid provision will be interpreted or limited in a manner that most closely reflects its original purpose while remaining enforceable.

25 — No Waiver

If EdMission does not immediately enforce a provision of these Terms, that does not mean EdMission has waived the right to enforce that provision later.

26 — Entire Agreement

These Terms, together with the Privacy Policy and any additional purchase terms or other terms expressly presented for a particular feature or service, constitute the agreement between you and EdMission concerning your use of the Service.

If additional terms for a specific purchase or feature conflict with these Terms, the additional terms will control only with respect to that specific purchase or feature to the extent of the conflict.
